PCI audio interface

I have about $400 to spend. I need midi interface, mic input, phantom power, 24/96.
Something with good sound quality, and easy to use.
any suggestions?
I already looked at m-audio omni studio, st-audio dsp, esi-pro wami rack..... but i don't know what to go for..
do you havee any other suggestions?

Have you considered getting a soundcard and mic preamp separately?

eg soundcard - MiaMidi, micpre VTB-1 or DMP3
