Cubase SX 2 Maxes out my CPU!!! HELP needed!

My CPU is maxing out (CPU Spikes) and my computer then freezes while Sx 2.0 is running. The odd part of this is that I can see the meter rise when audio is NOT playing and fall when I play the audio. If I leave SX application running while I go get something to eat and return to it in about 15 min, the computer as already experienced a horrble CPU Spike! This situation is even worse when multiple tracks are added to the project! Sometimes when I attemt to open a project my computer will load with a CPU Spike and a very loud continous sound of white noise!
This happens even without Plug-ins or VSTi's loaded, my set-up is as follows:

Pentium IV 2.0
1.5 gig of DDR RAM
7200 RPM harddrives, 40 gig & 120 gig
Intel chipset 845E
Delta 44 ASIO soundcard
ASUS P4B533 Motherboard

BTW, I NEVER had this problem with 1.x!!!! It all started with 2.0, well now

I did increase my RAM by 1 gig, and checked my RAM with a memory tester and all is fine.; I don't have Hyperthreading,

I updated my mother board and chipset and problem is still there, I even upgraded my powersupply. My RAM is the same type but not the same brand.
I wrote to Steiny and there response was to go out and buy Craig Andertons book w/ CD about Cubase SX 2.0, I can't beleive they don't even offer 100% support for their own products!
 
You probably have already tried this, but have you uninstalled and reinstalled your soundcard driver? When I made the jump from vst to sx, it tweeked out my driver for some reason and I was having trouble with my system. Redid the driver and it solved the problem. Also, it might not hurt to reinstall SX 2 if the driver doesn't do it.

I hope it is something as simple as that. You computer has plenty of juice so it is odd that's it is spiking like that.

frank_1 it is probably one of two things:

1) A driver that needs updated, or
2) A program running in the background.

What version of Windows are you running?

What other software is installed?

When your computer spikes to 100%, what process in the task manager is eating up 100% ??

I work in IT and I see this kind of thing happen all the time with all kinds of software. Nine times out of 10 it is something very frustrating such as Real Player updater (which you'll see as tkbell.exe if you take that example) locking up when Cubase or whatever software is kicked off.

Of course Cubase can't support this problem because there are so many possible causes, and most of them have nothing to do with Cubase at all.
