I am running cubase 3.7 on a P2, 233MHz, 32Mb system...midi record is fine, audio will record but will not sync to midi (audio slightly delayed ).......I`ve played around with the offsets and sync options to no avail...ideas appreciated.....solution even more so....mac

How about in the ASIO control panel, advanced options dialog? Did you try to set the sync reference to "sample position - output"? That should be more stable.

Do the midi and audio start out together and then drift apart over time, or are they out of sync from the beginning? (I'm not sure why I'm asking that because I'm not sure exactly what it would mean.) Have you tried doing a "reset devices" and does that fix the problem temporarily?

What's your soundcard? If it's a Soundblaster/Live, then it could be to do with its sample rate, which runs internally at 48kHz.
Go to the audio/system menu and try changing your sample rate to 48 instead of 44.1kHz on the ASIO panel. This seems to have worked for me.
I'm coming to the conclusion that to get rid of latency problems, the best bet is to invest in a decent, i.e. expensive, audio card with ASIO drivers.
Hope this helps :)
