Best entry-level card for replacing onboard sound...

Making the move to the computer. I record acoustic guitars and vocals on my Roland VS-840EX mainly because it is comfortable for me and it's portable. Now I want to use the 840 as a staging area, with the computer doing all the heavy editing work.

Here is my setup:

###Pre-computer###
Audio Technica ATM41HE Hypercardiod (been pleased)
Takamine 6-string acoustic guitar
Seagull 12-string acoustic guitar
Behringer Eurorack MX1602
Roland VS-840EX

###Computer###
Intel WL810 Motherboard (onboard video and sound)
Intel Celeron 700MHZ
160MB RAM (soon to be maxed out at 512MB)
15GB Maxtor DiamondMax 5200RPM
HP CD-RW 12x 10x 32x
Windows 2000 w/Sonar, Nuendo, & Soundforge

I just need a decent card that can handle MIDI synch and SPDIF input from the VS-840EX . I want to spend less than $200 (preferably a lot less). I've searched and searched but keep going in circles (Audiophile, Echo Mia, Hoontech, etc.). I plan to record the tracks on the 840 first. Then sync Sonar for instance to the 840 while recording to and playing back from the hard drive (max 15-20 tracks). The end result of my recording efforts will be my first do-it-yourself CD and MP3s.

I would really appreciate any thoughts - however brief - about what would be a decent entry-level card considering my needs.

Also, should I start setting up a partition with Win98 for a dual boot? Then just install my audio apps? Will the system run clean then? It doesn't seem like W2K is the best platform right now.
