Suggestion on what to buy

I just need DA conversion (for mic and guitar--only one at a time though) and midi. I'd like to spend around $225.

I'm going to use lots of samples with a software sampler, sounds from my AN1X, and some guitar and mic tracks.

The two options I'm considering are
1) Echo Mia + Midiman 2x2 USB midi interface
or
2) M-Audio Audiophile 2496 + Behringer 802A Mixer

I like option 1 because the Mia has those virtual outs that would be great with all the software samplers and sequencers I'll be using and Echo feels like a better brand to me.

I like option 2 because the mixer offers me added control and built-in preamps.

First of all, the Audiophile comes with unbalanced RCA connectors which you can't plug a guitar line out directly to. Is a mixer how people usually get guitar and mic inputs into the Audiophile? Are the preamps on a cheap Behringer mixer worth anything? Would the Behringer add noise to the recordings?

Basically, I'm looking for any opinions or advice that would push me over the edge in either direction.

Yes, you can use a mixer as an interface in to a sound card.
I use a Tascam 424 MKII as a mixer in to an Audiophile 24/96 and it works fine for me. I've never owned any Behringer equipment, but I haven't heard many good things about it.
