.MP3 or .WAV conversion to MIDI....?

This is probably a shtew-pid question but, I have searched the net and cannot find an answer...................

Is there a software such as "Music Match Juke Box" which will
convert a .MP3 or .WAV file to a MIDI file?

Any help will be appreciated,

No. That would be so complex it would be nearly impossible. Now there may be some software that will try to approximate the original track with MIDI commands...but there is no such thing as a conversion.
