I need a sick EQ vst and Mastering suite for Cubase 5, any suggestions?

I really need to find some quality vst's, I am using a waves 7 bundle, and lexicon reverb but there not doing it for me. there has to be some other ones out there but I cant exactly download all of them too see.
And another topic is my friend makes beat in 41K using cubase 5 and reason. I then record on his beats in 96k for vocals. the questioin is does converting a 41K MP3 to 96k distort the beat at all? given that he cant export a WAV file in 48k which is half of 96. the final song is mixed down to 41K. its just a big mess. were using a spdif signal.

I could be wrong... Usually when someone purchases vst's with the quality of Waves, they don't say such things. Unless they just 'download' anything they want without giving a shit about learning how to use software, not to mention actually paying for it in the first place. I feel the same way paying taxes to support people who are too lazy to help themselves. Death and taxes are inevitable. Giving advice to a person with no morals, is avoidable. I choose not to help a pirate.
 
The best plugs possible are the UAD stuff. They sound awesome and run on DSP cards to free up your cpu for other processing tasks. They also require that you "BUY" the plugs as they can't be stolen from a torrent download or crack site.
 
I was looking for a free one too, and my buddy did purchase the waves bundles
