Eligibility: Sprite LeBron 23-23 Help Create LeBron James’ Theme Song Contest (the “Contest”) is open only to residents of the 50 United States and the District of Columbia who are 13 years of age and older at the time of entry. Employees of The Coca-Cola Company, Beverage Partners Worldwide (North America), the authorized bottlers of The Coca-Cola Company, ePrize, LLC, NBA Properties, Inc., LeBron James and King James, Inc., and their respective related companies, parents, subsidiaries, affiliates, and agents and any agencies or other companies involved in the development or execution of the Contest or production or distribution of Contest materials, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. The Contest is subject to all applicable federal, state, and local laws and regulations and is void where prohibited by law.

Sponsor: The Contest is sponsored by Coca-Cola North America, a division of The Coca-Cola Company, One Coca Cola Plaza, Atlanta, GA 30313. Administrator: ePrize, LLC, One ePrize Drive, Pleasant Ridge, MI 48069.

Agreement to Official Rules: By participating in the Contest, contestant warrants that he/she fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor and/or Administrator, which are final and binding in all matters related to the Contest. Winning the prize is contingent upon fulfilling all requirements set forth herein.

Timing: The Contest begins at 12:00 a.m. Eastern Time ("ET"), January 1, 2007 and ends at 11:59 p.m. ET, March 2, 2007 (the "Contest Period"). The Contest Period consists of an upload and preliminary voting phase which begins at 12:00 a.m. ET on January 1, 2007 and ends at 11:59 a.m. ET on January 22, 2007 (the “Upload/Preliminary Voting Phase”); a judges’ voting phase which begins at 12:00 p.m. ET on January 23, 2007 and ends at 11:59 p.m. ET on January 30, 2007 (the “Judges’ Voting Phase”); and a final public voting phase which begins at 11:59 p.m. ET on February 16, 2007 and ends at 11:59 p.m. ET on March 2, 2007 (the “Final Voting Phase”). Administrator’s computer is the official time keeping device for the Contest.

Contest Entry Instructions:
In order to enter the Contest, you must first obtain a cap code (“Promotion Code”). There are 2 ways to obtain a Promotion Code:

During the Contest Period and while supplies last, purchase specially marked 20 oz Sprite bottles; or

To obtain a Promotion Code without making a purchase, visit http://lebron23-23.com/ssldocs/freeEntry.do during the Contest Period and follow the links and instructions to obtain a Promotion Code. Upon submission of a completed request form, an email immediately will be sent to you containing a Promotion Code. A limit of 23 Promotion Codes can be requested per day to be used for entry and voting.

Once you have obtained a Promotion Code, visit http://www.lebron23-23.com (“the Website”) during the Upload/Preliminary Voting Phase. Log on with your My Thirst ID if you already have one. If you do not already have a My Thirst ID, follow the onscreen directions to create one. (See Section #6 for details on creating a My Thirst ID). Follow the directions to advance to the Contest page and follow the instructions to use the online music content provided by Sponsor (which contains original recordings and compositions owned by Sponsor) to create your music mix entry, sometimes referred to as “Song” in marketing and advertising materials related to the Contest (the “Music Mix”). By entering, each contestant represents and warrants that each entry that he/she submits:

Is his/her own original work created with the use of the online content provided by Sponsor on the Website;

Is not obscene or indecent in any manner to the extent any external material is added to the online music content;

Does not infringe any other person’s or entity’s rights, including, without limitation, contractual rights, rights of publicity and privacy, trademark, copyright, and patent rights; and

Has not been submitted previously in a contest of any kind.

No additional lyrics, voices, or other musical elements from outside of the music content provided on the online music mixer may be used to create the Music Mix. Sponsor anticipates that it will take contestants no more than approximately 15 minutes to complete each Music Mix. Limit: Each contestant may enter 23 Music Mixes per day during the Upload/Preliminary Voting Phase of the Contest Period. Each Music Mix will be considered a work-made-for-hire for Sponsor, meaning that each Music Mix will be owned exclusively by Sponsor. Sponsor will be deemed the copyright owner of each Music Mix and will own any and all copyright rights and any and all derivative works with respect to each Music Mix, meaning that Sponsor will own all adaptations of each Music Mix in any media format, specifically the incorporation of the winning Music Mix into the final LeBron James theme song (“Theme Song”). Sponsor will have the rights to use the Music Mixes for any and all purposes in any manner and in any medium, whether now known or hereafter devised, anywhere in the world, including, but not limited to, all synchronization, mechanical, public performance and transcription rights, and the unrestricted right to alter, revise, change, arrange, rearrange, edit and adapt each the Music Mix, in whole or in part, and to add lyrics and/or vocals, and to license use of each Music Mix in any media, whether now known hereafter devised, without attribution or compensation to the contestant, his or her successors or assigns, or any other entity. SUBMISSION OF AN ENTRY IN THIS CONTEST CONSTITUTES CONTESTANT’S IRREVOCABLE ASSIGNMENT, CONVEYANCE, AND TRANSFERENCE TO SPONSOR OF ALL RIGHT, TITLE, AND INTEREST IN THE ENTRY, INCLUDING, WITHOUT LIMITATION, ALL COPYRIGHTS.

Multiple participants are not permitted to share the same email address. Any attempt by any contestant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that contestant's entries and that contestant may be disqualified. Entries must not be inappropriate, indecent or obscene, as determined by Sponsor in its sole discretion. Proof of submission or sending is not proof of receipt by Sponsor. All submissions become the exclusive property of Sponsor, and none will be acknowledged or returned. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, or misdirected entries which are void.

Widget Download: Contestants may download codes to obtain a widget which is a customizable dashboard that allows contestants to connect information anywhere on the Internet (“Widget”). The Widget will serve as a means to stream music entries housed on the Website and can live on contestants’ profile pages on online social networking sites. Contestants should review the terms and conditions related to their profile pages on any online social networking sites.

Judging:

Upload/Preliminary Voting Phase (Jan 1, 2007, 12:00am ET - Jan 22, 2007, 11:59pm ET): Sponsor will post the Music Mixes on the Website. Each visitor to the Website will be invited to vote for his/her favorite Music Mix based on the following criteria (“Voting Criteria”):

Complexity (33%) - The degree to which a contestant has created an intricate mix of loops and beats to create a sound that is not easily replicable.

Creativity (33%) – The degree to which the Music Mix has an original, freshly created sound and style.

Compilation (34%) - The use and flow of various beats and how they are used together.

Each visitor may cast 1 additional vote for each Promotion Code he/she submits. Limit: Visitors may enter up to 23 Promotion Codes per day to obtain and cast additional votes.

Judging by Qualified Panel (Jan 23, 2007, 12:00pm ET – Jan 30, 2007, 11:59pm ET): The 100 Music Mixes which receive the highest vote totals during the Upload/Preliminary Voting Phase will be judged by music experts (such music experts will be selected by Sponsor in its sole discretion) to select the top 23 Music Mixes (the “Semifinalists”) based on the following criteria (“Judging Criteria”):

Complexity (30%) - The degree to which a contestant has created an intricate mix of loops and beats to create a sound that is not easily replicable.

Creativity (30%) - The degree to which the song has an original, freshly created sound and style. Creativity will also examine the use and flow of various beats and how they are used together.

Public Appeal (25%) - The degree to which other consumers place a vote for individual tracks via the Listen Lab on LeBron 23-23.com or the widget placed on consumer’s community networking page(s).

LeBron Appeal (15%) - The degree to which a Music Mix has captured the attention and interest of LeBron James as a possibility of becoming his Theme Song.

In the case of a tie, the Sponsor will choose a music expert in its sole discretion to select the Semifinalist winner(s) based on the Music Mix that has the most LeBron Appeal. A panel of qualified judges (selected by Sponsor in its sole discretion), whose decisions regarding the Contest and related matters are final and binding, will select the top 3 Music Mixes from the Semifinalists (the “Finalists”) using the Judging Criteria. In the case of a tie the entry with the highest score for LeBron Appeal will be deemed the Finalist. Should a tie remain a new judge to be determined by Sponsor in its sole discretion will re-judge the remaining tied entries based upon the Judging Criteria. The Finalists may be edited into certain Sponsor’s television commercials which will be unveiled during the NBA All-Star Weekend.

Final Voting Phase and Contest Winner Determination (Feb 16, 2007 11:59pm ET – Mar 2, 2007, 11:59pm ET): During the Final Voting Phase, Sponsor will post the Finalists’ Music Mixes within Sprite advertising on the Website (which may be included in certain Sponsor’s television commercials). Using the Voting Criteria, each visitor to the Website will be invited to cast their votes for the visitor’s favorite Music Mix(es). Visitors may also vote by using a text-messaging capable device. Visitors who submit entries by text messaging will be charged according to their standard text messaging rates and Visitors should contact their carrier for pricing plans and details. Check your phone's capabilities for specific instructions. Text-messaging not available during the entire Contest Period and may not be available through all wireless carriers. There is no limitation on the number of votes a visitor may submit online or by text-message. The Finalist with the highest number of votes will be the Contest Grand Prize winner. In case of a tie, the Sponsor in its sole discretion will select the Contest Grand Prize winner based upon the Music Mix that has the most LeBron Appeal. Should a tie remain, a new judge to be determined by Sponsor in its sole discretion will re-judge the remaining tied entries based upon the Judging Criteria.

For the Voting Phase: Multiple voters are not permitted to share the same email address or text-messaging capable devise. Any attempt by any voter to submit more than the stated number of votes by using multiple/different email addresses, text-messaging capable devises, mailing addresses, identities or any other methods will void that voter’s entries and he/she will be disqualified from further participation in the Contest. Use of any automated system to vote is prohibited and will result in disqualification. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected votes, which will be disqualified. In the event of a dispute as to any vote, the authorized account holder of the email address or the text-messaging capable device used to vote will be deemed to be the voter. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Otherwise, the "authorized account holder" of a text-messaging capable device is the natural person in whose name the device has been issued and the services are billed. Potential winners may be required to show proof of being the authorized account holder. Voters must be 13 years of age at the time of voting and legal residents of the 50 United States (including the District of Columbia)

How to Create Your my Thirst ID: Click on the sign up link and follow the instructions to create your My Thirst ID. To create a My Thirst ID, you must have a unique valid email address. Limit: 1 My Thirst ID per person per email address; limit 1 screen name per person per email address; screen name/email address cannot be shared. The person who is the authorized account holder of the email address indicated when registering a screen name will be deemed the contestant/participant.

Requirements of Contest Winner: The potential winner will be notified by email, phone or registered mail on or about April 2, 2007. The potential winner (or parent/legal guardian if winner is a minor in his/her state of residence) will be required to sign and return an Affidavit of Eligibility, Liability and Publicity Release, where permitted, within 10 days from the date of notification. This Affidavit will include a provision that winner understands and acknowledges that Sponsor, its authorized bottlers, and customers may use his/her Music Mix and personal attributes (as referenced in Paragraph 9 of these Official Rules) in any media (including, without limitation, television, print, and radio advertising and marketing, Internet, industrial use (e.g., in stadiums, in stores), and possibly in commercial compact disc distribution) without attribution or compensation to the winner, his or her successors or assigns, or any other entity. Winner may not have his/her name mentioned in connection with the Theme Song/credit for the Theme Song. If requested, winner agrees to conduct any and all media interviews (including but not limited to radio and television) related to the Contest and not to disparage the Sponsor during such interviews. Failure to comply with this requirement for any reason, or return of prize notification or prize as undeliverable, failure to return the Affidavit of Eligibility, Liability and Publicity Release within the specified timeframe, or noncompliance with these Official Rules will result in forfeiture of the prize and selection of an alternate potential winner. In the event that the potential Grand Prize winner is disqualified for any reason, the prize will be awarded to the Finalist who received the next highest vote total. If there are any other disqualifications, this procedure will continue until there are no remaining Finalists. At that point the prize will remain unawarded.

Grand Prize: 1 GRAND PRIZE: Trip for 2 to the recording of LeBron James’ Theme Song with celebrity talent. Sponsor will determine the celebrity talent and the location and time where the recording will take place in its sole discretion. Trip location will be in one of the 50 United States and be determined by Sponsor in its sole discretion. The celebrity talent will make all final production decisions; winner may not contribute to the lyrics or vocals of the Theme Song. Trip package includes roundtrip coach-class airfare for 2 from a major airport near winner’s home (determined by Sponsor in its sole discretion) to a major airport near the location where LeBron James’ Theme Song will be recorded (determined by Sponsor in its sole discretion); hotel accommodations, hotel and the quantity of days and nights to be determined by Sponsor in its sole discretion (single room, double occupancy); ground transportation to and from airport and hotel; and $500 spending money. Winner must complete travel before May 31, 2007 or prize will be forfeited. Trip must be booked at least 21 days prior to departure. Trip subject to availability and blackout dates. Travel must be roundtrip. Sponsor will determine airline and flight itinerary in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel and accommodations are subject to availability. Travel is subject to the terms and conditions set forth in this Contest, and those set forth by the Sponsor’s airline carrier of choice as detailed in the passenger ticket contract. All expenses and incidental travel costs not expressly stated in the package description above, including but not limited to, ground transportation, meals, incidentals, passenger tariffs or duties, surcharges, airport fees, service charges or facility charges, personal charges at lodging, security fees, taxes or other expenses are the responsibility solely of winner. Unless child of winner, travel companion must be 18 years of age or older as of the date of departure and must travel on same itinerary and at the same time as the winner. If winner is a minor in his/her state of residence, travel companion must be winner’s parent/legal guardian. Travel companion must execute liability/publicity releases prior to issuance of travel documents. Travel restrictions, conditions and limitations may apply. If in the judgment of Sponsor air travel is not required due to winner’s proximity to prize location, ground transportation will be substituted for roundtrip air travel at Sponsor’s sole discretion. Actual value may vary based on airfare fluctuations and distance between departure and destination. Prize is non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute the prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winner is responsible for all taxes and fees associated with prize receipt and/or use. No more than the stated elements of the prize will be awarded.

Publicity: Except where prohibited, participation in the Contest constitutes winner's consent to Sponsor’s and its authorized bottlers’, customers’, and promotional partners’ use of winner's name, likeness, photograph, voice, opinions, biographical information, hometown and state (“Personal Attributes”) for promotional purposes in any media without further payment or consideration.

General Conditions: Sponsor reserves the right to cancel or modify the Contest if fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity of the Contest, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the prize at random from among the eligible entries received up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or any other promotion, or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any web site or undermine the legitimate operation of the Contest is a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Release: By entering this Contest, contestant agrees to release and hold harmless The Coca-Cola Company, Beverage Partners Worldwide (North America), the authorized bottlers of The Coca-Cola Company, ePrize, LLC, NBA Properties, Inc., LeBron James and King James, Inc., and their respective related companies, parents, subsidiaries, affiliates, and their respective agents and agencies, and each of its and their respective officers, directors, employees, and agents (collectively the “Released Parties”) from and against any losses, damages, rights, claims or causes of action of any kind arising, in whole or in part, directly or indirectly, out of participation in the Contest or resulting directly of indirectly, from acceptance, possession, use, or misuse of the prize awarded in connection with the Contest, including without limitation personal injury, death, and/or property damage, as well as claims based on defamation and infringement of any other person’s or entity’s rights, including, without limitation, contractual rights, rights of publicity and privacy, trademark, copyright, and patent rights.

Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by contestants, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software, including, without limitation, in connection with the Widgets or text messaging; (3) unauthorized human intervention in any part of the entry process or the Contest; (4) technical or human error which may occur in the administration of the Contest or the processing of entries; (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from contestant’s participation in the Contest or receipt or use of any prize or while traveling to or from any prize-related activity; or (6) liability in connection with the content or any matter with respect to any online social networking sites which contestants may use to post their Music Mixes. If for any reason a contestant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, contestant’s sole remedy is another entry in the Contest during the Contest Period.

Disputes: Contestant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Contest, or any prize elements awarded, other than the administration of the Contest or the determination of winners, shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest but in no event attorneys' fees; and (iii) under no circumstances will contestant be permitted to obtain awards for and contestant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. I'd seen this about a couple of days before you posted it BKnot. I browsed around with it, but I know with the limited selection of stuff that you can use on the site, there's gonna be a lot of shit that sounds the same IMO.

i dun think its rapping, they give you a couple of loops and you just gotta arrange them, and just adjust the volume and stuff, i think its a competition for evryone not just people who can amke music
 
Yeah it's all about mixing and arranging loops. And having a crowd big enough to vote for you.
