I have some VSTS in my song and its an orchestral piece, when i play it in cubase 5 everything seems to fit in place! I just wrote the song and bang play it with ZERO effects and im happy. when i save this sucker as a wav and convert to mp3 as cubase 5 doesnt have the facility it seems to mixdown to mp3, it sounds Crapy. It sounds NOTHINg like i made! the channels i mixed to go nicely are all over the place it seems.

When i play it in the car it doesnt even sound like a final master just sounds cheapy any ideas?

When i just played this on cubase 5! it sounds full complete! but the actual mp3 hmm is less to be desired
 
I use Cubase 5 and mixdown to MP3 all the time--they sound just like my mixes in Cubase. It's got to be a problem with your settings when you mixdown.
 
When you save as a WAV, does that sound okay if you play it back in Cubase (or something else)? It is likely that you need to (as WhiteStrat says) look at your settings in the MP3 conversion.
